1 Texas Administrative Code § 83.3 – Administrative Review

The secretary of state will not reject the filing of a certificate of formation or an application for registration by a limited partnership that identifies as one of its general partners an unqualified foreign filing entity. Acceptance of the document does not constitute a determination by the secretary of state that the foreign corporation or limited liability company identified as a general partner has substantially complied with the statutes governing that type of entity.
