Section 109 Investments and Securities Act

Section 109 of the Investments and Securities Act 2025 is about Contract in prospectus not to be varied without leave. It is under Part IX (Regulation of Securities) of the Act. It provides as follows:

An issuer shall not vary the terms of a contract referred to in the prospectus or a statement in lieu of prospectus, except with the approval of the Commission and in the case of a company, the consent of shareholders in addition to the approval of the Commission.
